These Website Terms and Conditions (“Terms”) govern your access to and use of any websites, portals, or online services operated by Wolfpack Strategic Solutions, LLC d/b/a Parabellum Aerospace (“Parabellum,” “we,” “us,” or “our”), including all content, functionality, and services offered on or through the site (collectively, the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site.

Who We Are

Parabellum Aerospace designs, develops, and supports mission-specific unmanned aircraft systems (UAS), payloads, and training solutions for government, military, law enforcement, and select commercial clients. The Site provides general information about our company, capabilities, platforms, and services, and may enable you to contact us or request additional information.

Nothing on the Site by itself constitutes an offer to sell, a commitment to deliver any specifi c capability, or a guarantee of availability, exportability, or performance.

Eligibility & Intended Audience

The Site is intended for use by:

Government agencies and their authorized representatives
Military and law enforcement organizations and their authorized representatives
Qualified commercial and industrial entities
Individuals who are at least 18 years of age (or the age of majority in their jurisdiction)

By using the Site, you represent and warrant that:

You are legally capable of entering into a binding agreement;
You are not located in, and are not a resident or national of, any country or region subject to comprehensive U.S. sanctions; and
You are not listed on any U.S. government restricted or denied parties list.

Acceptance of Terms & Changes

By browsing, accessing, or using any part of the Site, you agree to these Terms and any additional terms that may apply to specifi c features, portals, or services.

We may update these Terms at any time by posting a revised version on the Site and updating the “Last updated” date above. Your continued use of the Site after any changes become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Site.

We may modify, suspend, or discontinue any part of the Site at any time without notice.

Not Operational Advice or Employment of Force

Content on the Site: including text, media, case studies, technical descriptions, and training references is provided for general information and marketing purposes only. It is not:

A tactical, operational, or legal directive;
A substitute for mission planning, rules of engagement, or agency policy; or
A replacement for formal training or certification.

Any operational use of Parabellum systems is governed exclusively by the applicable contracts, manuals, training programs, and rules set by the customer’s organization and by applicable law, not by the Site.

Accounts, Portals, and Security

If the Site includes customer portals or password-protected areas (collectively, “Portals”), additional or supplemental terms may apply.
Where accounts are used:

You must maintain the confidentiality of your login credentials.
You are responsible for all activity under your account, whether or not authorized by you.
You agree to notify us immediately if you suspect unauthorized access to your account or the Portals.

We reserve the right to suspend or terminate any account or Portal access at our discretion, including for security concerns or suspected misuse.

Intellectual Property Rights

All content on the Site; including text, graphics, logos, icons, images, video, audio, software, designs, trade names, and trademarks (collectively, “Content”) is owned by Parabellum and/or our licensors. All Content is protected by U.S. and international laws, including copyright, trademark, and trade secret laws.

Except as expressly permitted in these Terms, you must not:

Copy, reproduce, modify, adapt, translate, or create derivative works from the Content;
Display, perform, publish, transmit, distribute, or otherwise make the Content available to any third party; or
Remove, obscure, or alter any copyright, trademark, or proprietary rights notices.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Site and view its Content solely for your internal, non-commercial evaluation of Parabellum’s capabilities and offerings, unless otherwise authorized in writing.

User Content & Feedback

If you submit or transmit any information, data, files, questions, feedback, suggestions, or other materials to us through the Site (“User Content”):

You represent and warrant that you have the right to provide such User Content and that it does not violate any law, confi dentiality obligation, or third-party right.
You grant Parabellum a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, host, store, reproduce, modify, translate, and create derivative works from the User Content for the limited purposes of responding to your inquiry, improving our products and services, and operating and securing the Site.

Parabellum does not accept any confidentiality obligations with respect to unsolicited ideas, concepts, or product suggestions submitted through the Site. Do not submit classified, controlled, or otherwise sensitive operational information through public Site forms.

Permitted Use & Prohibited Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. You must not:

Use the Site in any way that violates applicable law or regulation (including export control, sanctions, and data protection laws);
Attempt to gain unauthorized access to any systems, networks, Portals, or data;
Interfere with the operation, security, or integrity of the Site (including via malware, denial-of-service, or probing attacks);
Use any automated means (scrapers, bots, crawlers, etc.) to access or copy the Site, except for standard, lawful indexing by search engines;
Misrepresent your identity, your affi liation with any organization, or your authorization to act on behalf of another;
Use the Site or any Content to design, develop, produce, or deploy systems in violation of U.S. or allied law, including weapons systems for embargoed states or sanctioned entities;
Use the Site to harass, threaten, or unlawfully surveil any person or organization.

We may investigate and cooperate with law enforcement regarding any suspected violation of law or these Terms.

Export Control, Sanctions, and Defense Compliance

Parabellum’s products, services, technical data, and software may be subject to U.S. and international export control and sanctions regimes, including, without limitation, the Export Administration Regulations (EAR), the International Traffi c in Arms Regulations (ITAR), and regulations administered by the U.S. Department of the Treasury’s Offi ce of Foreign Assets Control (OFAC).

By using the Site, you agree that:

You will comply with all applicable export, re-export, sanctions, customs, and defense trade control laws;
You will not use the Site to request, discuss, or facilitate the unauthorized export or transfer of controlled hardware, software, or technical data; and
You will not access or use the Site from a jurisdiction, or on behalf of an entity or individual, that is embargoed, sanctioned, or otherwise prohibited under U.S. law.

Any actual sale, license, or transfer of Parabellum products or services is subject to separate contractual terms and may require specifi c governmental approvals, export licenses, or end-user/end-use certifications.

Third-Party Websites & Services

The Site may contain links to third-party websites, applications, or services (collectively, “Third-Party Services”). These links are provided for convenience only.

Parabellum does not control and is not responsible for the content, security, or practices of any Third-Party Services.

Inclusion of a link does not imply endorsement, sponsorship, or affiliation.

Your use of Third-Party Services is at your own risk and subject to the terms and policies of those third parties.

No Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARABELLUM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
WARRANTIES AS TO ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT.

Any reliance you place on Site Content is at your own risk. Operational, procurement, and mission decisions must be based on appropriate contracts, technical data packages, and your own professional judgment—not on marketing content.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PARABELLUM OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION:

LOSS OF PROFITS OR REVENUE;
LOSS OF DATA OR GOODWILL;
BUSINESS INTERRUPTION; OR
PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES,
ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT ANY LIABILITY IS FOUND NOT TO BE EXCLUDABLE, THE TOTAL AGGREGATE LIABILITY OF PARABELLUM ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain exclusions or limitations of liability; in such cases, the above limitations will apply to the fullest extent permitted by law

Indemnification

You agree to indemnify, defend, and hold harmless Parabellum and its affi liates, offi cers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Site or Content;
Your violation of these Terms; or
Your violation of any applicable law or any rights of a third party.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with such defense.

Government End Users

If you are a U.S. Government agency or are accessing the Site on behalf of a U.S. Government agency, you acknowledge that any software and associated documentation available on the Site are “commercial items” as defi ned in applicable procurement regulations, provided with only those rights customarily provided to the public under these Terms.

Nothing in these Terms grants the U.S. Government rights beyond those set forth herein absent a separate, duly executed agreement.

Privacy

Your use of the Site may involve the collection and processing of certain information about you. Our practices with respect to such information are described in our Privacy Policy, which is incorporated into these Terms by reference.

By using the Site, you acknowledge and agree that we may process your information in accordance with our Privacy Policy.

Termination & Suspension

We may, at our sole discretion and without notice, suspend or terminate your access to the Site (including any accounts or Portals) for any reason, including but not limited to:

Actual or suspected violation of these Terms;
Security or operational concerns; or
Discontinuation of the Site.

Upon termination, your right to use the Site will immediately cease. Provisions that by their nature should survive termination (including, without limitation, intellectual property rights, disclaimers, limitations of liability, indemnification, and governing law) will continue in effect.

Governing Law & Jurisdiction

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict of law principles.

You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in North Carolina, and you hereby consent to the personal jurisdiction and venue of such courts.

If you are a government entity that is legally restricted from consenting to jurisdiction, venue, or governing law as set forth above, such provisions will apply to the maximum extent permitted by law and may be modifi ed only by written agreement between your organization and Parabellum.

Miscellaneous

Entire Agreement. These Terms, together with any additional terms referenced or incorporated herein (including our Privacy Policy), constitute the entire agreement between you and Parabellum regarding the Site.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction in connection with a reorganization, merger, merger, or asset sale.

Headings. Section headings are for convenience only and have no legal or contractual effect.
